Whether a business is looking into acquiring another business or looking to be acquired, we have assisted numerous businesses through the mergers and acquisitions process.  This experience includes transactions that qualify as tax-free reorganizations under the Internal Revenue Code.  The first step in the mergers and acquisition process is due diligence review.  For the acquiring entity, a due diligence review is essential to ensure that the entity gets what they are believe they are bargaining for.  For the seller, a due diligence review (regardless of the acquisition intent) can assist the business in fulfilling the adage that a business should always be run as if it is going to be sold.  Beyond the due diligence stage, we counsel purchasers, sellers, and, in some instances, we act as counsel for “the deal,” in drafting letters of intent, purchase agreements, merger agreements, and closings.
