Entity Formation and Business Planning

As part of our entity formation practice, we analyze the practical, business, legal and tax consequences in forming a client’s business and determining what structure is best suited to achieve the business owner’s goals. In our business planning practice, we analyze these same factors in guiding business owners through the transactions and structural decisions that are necessary to establish, grow, protect and sell their business—including advising our clients on joint venture and strategic alliance arrangements. We regularly draft, negotiate and review agreements among business owners at formation and at various times during the evolution of a business, such as operating agreements, shareholder agreements, buy-sell agreements, and voting trusts. We often assist in the creation of subsidiary and holding company structures when the need arises.
